Terms of Service

1. Acceptance of these Terms
These Terms of Service ("Terms") are a binding agreement between you and Josh Weiss Travel LLC ("AskTAD," "we," "us," "our"). By creating an account, signing in, or otherwise using AskTAD (the "Service"), you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
If you are using AskTAD on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. What AskTAD does
AskTAD is a software-as-a-service tool that helps travel advisors capture, organize, search, and reason about their professional knowledge: contacts, properties, interactions, notes. It uses third-party artificial intelligence (currently Anthropic's Claude) to answer questions about your data, parse documents you upload, and generate summaries. AskTAD is a productivity tool, not a system of record for regulated information, payments, bookings of record, or anything else for which a dedicated and certified system exists.
3. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract in your jurisdiction. AskTAD is intended for professional use by travel advisors and related travel-industry professionals. By using the Service, you represent that:
- You meet the age and legal-capacity requirement above.
- The information you provide is accurate.
- You will use the Service in compliance with all applicable laws and regulations, including those governing travel sales, consumer protection, and data privacy.
- You have the right to upload, store, and process any data you bring into AskTAD, including any contact data you import from third-party sources.
4. Your account
You access AskTAD by signing in with a third-party identity provider (currently Google or Microsoft; Sign in with Apple is on the roadmap). Keep your sign-in account secure; you are responsible for all activity under your AskTAD account. Notify us promptly at contact@asktad.app if you suspect unauthorized access.
You may have multiple AskTAD workspaces under one sign-in. Each workspace's data is logically isolated. If you change agencies or otherwise need to migrate, you may export your data and import it into a new workspace; we are not obligated to migrate workspaces between identities for you.
5. Your data & ownership
You own the data you put into AskTAD. You retain all rights, title, and interest in the contacts, properties, notes, photos, and other content you create or import ("Your Data"). We claim no ownership over Your Data.
You grant AskTAD a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and create derivative works of Your Data solely as necessary to provide the Service to you. Examples: rendering your contacts in your browser, writing your workspace to your Drive, sending relevant excerpts to our AI provider when you ask a question, and generating summaries for you. This license terminates when you delete the data or close your account, except for residual copies held in routine backups for the retention windows described in our Privacy Policy.
You can export Your Data in standard formats (CSV, JSON, vCard) at any time from Settings. We will not deliberately make export harder to lock you in.
6. AI-generated content
Specifically, AskTAD does not warrant that AI output:
- Will be factually accurate or current.
- Will reflect the most recent information available about properties, contacts, brands, or destinations.
- Will be free of bias, omissions, or errors.
- Is suitable for any specific business or legal purpose.
You are responsible for any actions you take based on AI output. AskTAD is a tool to assist your professional judgment, not a replacement for it.
7. Acceptable use
You agree NOT to:
- Use the Service for any unlawful purpose or in violation of any applicable law.
- Upload, store, or process personal data of third parties without a lawful basis (including under GDPR, CCPA, and similar laws).
- Attempt to access another workspace's data, reverse-engineer the Service, scrape it, or circumvent any access controls.
- Submit content that is illegal, defamatory, infringing, harassing, or contains malicious code.
- Use AskTAD to send spam, unsolicited marketing, or to harvest contact information for resale.
- Resell, sublicense, or commercially redistribute access to the Service.
- Use AskTAD to make decisions that have legal or significant effects on individuals (e.g. credit, employment, housing) where automated decision-making would be regulated.
- Exceed published rate limits or quota allocations except via documented top-up paths.
We may suspend or terminate accounts that violate this section, without refund.
8. Fees & billing
AskTAD is offered under subscription plans described on our pricing page. During the early-access beta period there is no charge. When billing turns on:
- You will be notified at least 14 days before your account is charged.
- Subscription fees are billed in advance on a recurring basis (monthly or annual, depending on the plan you select).
- All fees are non-refundable except as required by law or as expressly stated.
- Top-up purchases (e.g. additional TAD tasks beyond your monthly quota) are billed at the time of purchase and consumed within the billing period.
- You may cancel your subscription at any time from Settings → Billing. Cancellation takes effect at the end of your then-current billing period; you retain access through that date.
- We may change prices on at least 30 days' notice. If you do not accept a price change, you may cancel before it takes effect.
- Payments are processed by a third-party PCI-compliant payment processor (likely Stripe). Their terms apply to the payment transaction.
9. Service availability
We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance, unscheduled outages, third-party provider issues (Anthropic, Google, Microsoft, Postmark, our hosting provider), and force-majeure events may interrupt service. We do not provide a service-level agreement during the beta period; an SLA may be added with paid plans at general availability.
10. Data loss, backups, and your responsibility
You acknowledge that:
- You are responsible for maintaining your own independent backups of any data you cannot afford to lose. Export functions are provided for this purpose.
- Storing your workspace in your cloud account places a copy in your account, not on our servers. It is not a guarantee that the copy will be complete, current, or recoverable in all failure modes.
- Restoring from a backup may overwrite newer data; we may require explicit confirmation before doing so but cannot recover data that no backup contains.
- Soft-deleted data is permanently purged after 30 days. After purge it is irrecoverable.
- If you close your AskTAD account, your workspace data is irrecoverable from our systems after our retention window.
To the maximum extent permitted by law, AskTAD's liability for data loss is limited as set out in Sections 12 and 13.
11. Suspension & termination
We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, abused the Service, or created a risk to AskTAD or other users. We may also terminate accounts that have been inactive for an extended period, subject to advance notice and a reasonable opportunity to export.
You may terminate your account at any time by deleting it from Settings or by emailing us. Termination does not entitle you to a refund of fees already paid except as expressly required.
We may discontinue the Service at any time. If we do, we will give you reasonable advance notice and a reasonable opportunity to export Your Data.
12. Disclaimer of warranties
13. Limitation of liability
Some jurisdictions do not allow these limitations; in those jurisdictions, our liability will be limited to the smallest extent permitted by applicable law.
14. Indemnity
You agree to defend, indemnify, and hold harmless AskTAD and its officers, directors, employees, and agents from any third-party claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to: (a) Your Data; (b) your use of the Service in violation of these Terms or any law; (c) your interactions with any client, contact, or third party using output or data from the Service; or (d) your infringement or misappropriation of any third party's intellectual-property or privacy rights.
15. Disputes & arbitration
Informal resolution first. Before filing a formal dispute, you and AskTAD agree to try to resolve the dispute informally by contacting contact@asktad.app with a written description of the dispute and your contact information. If we cannot resolve the dispute within 60 days, either party may commence formal proceedings.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered by a recognized arbitration body (e.g. JAMS or AAA) under their applicable consumer rules, in Essex County, New Jersey. The arbitrator's decision will be final and binding. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action. The arbitrator may not consolidate claims of more than one person and may not preside over any form of representative or class proceeding.
Exceptions. Either party may bring small-claims-court actions, and either party may seek injunctive relief in court for intellectual-property infringement or unauthorized access to the Service.
Governing law. These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
If any of the dispute-resolution provisions in this section is found unenforceable, the parties agree to litigate exclusively in the state or federal courts located in Essex County, New Jersey, and each party consents to the personal jurisdiction of those courts.
16. General
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and AskTAD regarding the Service and supersede all prior or contemporaneous communications.
Changes. We may modify these Terms from time to time. Material changes will be communicated to you in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
Severability. If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign them without restriction in connection with a merger, acquisition, or sale of assets.
Force majeure. Neither party is liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, or third-party provider outages.
Notices. Legal notices to AskTAD must be sent to Josh Weiss Travel LLC / 35 Marquette Road, Montclair, NJ 07043. Notices to you may be sent to the email address associated with your account.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
